1 Acceptance of Terms

By accessing or using CelebrationApp Pro ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you disagree with any part of these terms, then you may not access the Service.

These Terms apply to all visitors, users, and others who access or use the Service. By using the Service, you represent that you are at least 18 years old and have the legal capacity to enter into these Terms.

2 Service Description

CelebrationApp Pro is a Shopify application that provides gamification and celebration features to enhance ecommerce customer experiences. The Service includes, but is not limited to:

• Confetti animations and celebration triggers
• Milestone achievements and progress tracking
• Customer engagement tools and widgets
• Analytics and reporting dashboard
• Customization options and templates
• A/B testing capabilities
• Integration with Shopify stores

We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without prior notice. We will not be liable to you or any third party for any modification, suspension, or discontinuation of the Service.

3 Account Terms

3.1 Account Creation

To use certain features of the Service, you must create an account. You agree to provide accurate, current, and complete information during the registration process and to update such information to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for safeguarding the password and for all activities that occur under your account. You agree to notify us immediately of any unauthorized access to or use of your account.

3.3 Account Restrictions

• You may not use another person's account without permission
• You may not create multiple accounts for the same store
• You may not use your account for any illegal or unauthorized purpose
• You must comply with all applicable laws in your jurisdiction

4 Payment & Billing

4.1 Subscription Plans

CelebrationApp Pro offers various subscription plans with different features and pricing. By selecting a subscription plan, you agree to pay the associated fees on a recurring basis.

4.2 Billing Cycle

Subscription fees are billed through Shopify on a monthly basis. The billing cycle begins on the day you subscribe to the Service and renews automatically each month unless cancelled.

4.3 Price Changes

We reserve the right to change our pricing at any time. If we change the price of your subscription, we will provide you with at least 30 days' notice before the change takes effect.

4.4 Refunds

We offer a 14-day free trial for new users. After the trial period, all payments are non-refundable except where required by law. No refunds will be provided for partial months of service.

5 Acceptable Use

You agree not to use the Service in any way that:

• Violates any applicable law or regulation
• Infringes on the rights of others
• Is fraudulent, deceptive, or misleading
• Distributes viruses or other harmful code
• Attempts to gain unauthorized access to our systems
• Interferes with or disrupts the Service
• Creates artificial traffic or engagement
• Harvests or collects information about other users
• Violates Shopify's Terms of Service or Acceptable Use Policy

6 Privacy & Data

6.1 Data Collection

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the Service, you consent to our collection and use of data as described in the Privacy Policy.

6.2 Data Security

We implement appropriate technical and organizational measures to protect your data. However, no method of transmission over the Internet is 100% secure, and we cannot guarantee absolute security.

6.3 Data Ownership

You retain ownership of all data you submit to the Service. By using the Service, you grant us a license to use, store, and process your data solely for the purpose of providing the Service to you.

7 Intellectual Property

The Service and its original content, features, and functionality are owned by CelebrationApp Pro and are protected by international copyright, trademark, and other intellectual property laws.

You retain ownership of any content you upload or create using the Service. By uploading content, you grant us a worldwide, non-exclusive, royalty-free license to use, reproduce, and display your content solely for the purpose of operating the Service.

7.3 Feedback

Any feedback, suggestions, or ideas you provide about the Service becomes our property and may be used without compensation or attribution to you.

8 Warranties & Disclaimers

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. WE EXPRESSLY DISCLAIM ALL WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that:

• The Service will meet your specific requirements
• The Service will be uninterrupted, timely, secure, or error-free
• The results obtained from using the Service will be accurate or reliable
• Any errors in the Service will be corrected

9 Limitation of Liability

IN NO EVENT SHALL CELEBRATIONAPP PRO, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION, LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES.

Our total liability to you for any claims arising from or related to these Terms or the Service shall not exceed the amount you have paid us in the twelve (12) months preceding the claim.

10 Indemnification

You agree to defend, indemnify, and hold harmless CelebrationApp Pro and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to:

• Your violation of these Terms
• Your use of the Service
• Your violation of any rights of another party
• Your content or data
• Any claims that your use of the Service caused damage to a third party

11 Termination

11.1 Termination by You

You may terminate your account at any time by uninstalling the app from your Shopify store. Termination will be effective at the end of your current billing period.

11.2 Termination by Us

We may terminate or suspend your account immediately, without prior notice or liability, for any reason, including but not limited to breach of these Terms.

11.3 Effect of Termination

Upon termination, your right to use the Service will immediately cease. All provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, and limitations of liability.

12 Changes to Terms

We reserve the right to modify or replace these Terms at any time at our sole discretion. If we make material changes, we will notify you via email or by posting a notice in the Service at least 30 days before the changes take effect.

Your continued use of the Service after any changes to the Terms constitutes your acceptance of the revised Terms. If you do not agree to the new Terms, please stop using the Service.

13 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the United States and the State of Delaware, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive or other equitable relief in any court of competent jurisdiction.
